1. Who you are contracting with
UptimeWatch ("the Service") is provided by URL Down ("we", "us", "our"). By creating an account or using the Service, you ("you" or "user") agree to these Terms & Conditions.
2. The Service
UptimeWatch is a website uptime monitoring service that periodically checks URLs you configure and notifies you of incidents.
3. Acceptable use
You must not misuse the Service. In particular you agree not to:
- Use the Service unlawfully or for fraud, spam, or abuse.
- Infringe intellectual property or other rights of third parties.
- Probe, scan, or attempt to compromise the security of the Service.
- Use the Service to attack, overload, or degrade any third-party system you do not own or have permission to monitor.
- Reverse-engineer, resell, or redistribute the Service.
4. Account responsibility
You must keep your credentials confidential and are responsible for activity under your account. Provide accurate information and keep it up to date.
5. Intellectual property
We retain all rights, title, and interest in the Service, including software, branding, and documentation. You receive a limited, non-exclusive, non-transferable right to use the Service within your chosen plan.
6. Payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing, taxes, cancellations, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.
Subscriptions renew automatically until canceled. You may cancel at any time through the customer portal or by contacting support.
7. Service level
We strive to keep UptimeWatch available but do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied.
8. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. Upon termination, your right to use the Service ends immediately.
9. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law.
10. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law.
11. Changes
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws applicable at URL Down's place of establishment, without regard to conflict-of-law principles. Disputes will be brought before the competent courts of that jurisdiction.
